These Terms and Conditions ("Terms") govern access to and use of www.celestium.in and all services, application processes, customer support channels, payment channels, and other modes of interaction offered by Celestium Financial Limited ("Celestium", "we", "us", "our").

Celestium Financial Limited is incorporated under the Companies Act (CIN: U71309TN1995PLC030475), with registered office at No.160/200, First Floor, Ramakrishna Mutt Road, Mandaveli, Chennai 600028, and books of account maintained at No. 28, 1st Floor, Bhadrappa Layout, Outer Ring Road, Maruthi Nagar, Nagashetty Halli, Bangalore North, Karnataka 560094. Celestium is registered with the Reserve Bank of India as a Non-Banking Financial Company.

For the purposes of these Terms:

  • Celestium, Company, We, Us, Our — Celestium Financial Limited
  • You, Your, Customer, Applicant, Borrower, Co-Borrower, Guarantor, User — any person or entity accessing the Website, applying for a loan, submitting documents, availing services, signing loan documents, providing a repayment mandate, making repayment, or otherwise interacting with Celestium

These Terms apply to all interactions through the Website, branch or office channels, agents, representatives, WhatsApp, email, telephone, web or physical forms, e-mandate links, UPI QR codes, bank transfer, customer service channels, or any other mode made available by Celestium ("Service Channels"). Celestium does not provide a customer login account or dashboard.

These Terms constitute an electronic record under the Information Technology Act, 2000 and do not require any physical, electronic, or digital signature.

By accessing the Website, submitting a loan enquiry, applying for a loan, providing consent, signing loan documents, executing a repayment mandate, making repayment, or continuing to avail services, You agree to be bound by these Terms, Celestium's Privacy Policy, Refund Policy, Fair Practices Code, and all applicable loan documents. Celestium may amend these Terms from time to time; continued interaction after such update constitutes acceptance of the revised Terms.

Celestium shall communicate with borrowers in English or a language understood by the borrower at all stages — application, sanction, loan execution, repayment, collection, and grievance redressal.

1. Services

1.1

Celestium provides business loans and related financial services, including:

  • Accepting and processing business loan enquiries and applications
  • Collecting and verifying customer documents
  • Conducting KYC, credit assessment, bank statement analysis, and eligibility checks
  • Sanctioning and disbursing business loans from Celestium's own books, subject to eligibility and internal policies
  • Executing loan agreements, security documents, guarantee documents, repayment mandates, and other transaction documents
  • Collecting repayments through e-mandate, NACH, cheques, UPI, bank transfer, or any other mode made available by Celestium
  • Servicing, monitoring, recovering, and managing loan accounts
  • Providing customer support, grievance handling, repayment assistance, and related services

1.2

These Terms presently cover business loans. Personal loans, if introduced, will be governed by separate or updated terms.

1.3

Approval, sanction, disbursement, continuation, renewal, restructuring, or closure of any loan is at Celestium's discretion, subject to applicable law, internal policies, borrower eligibility, documentation, and other relevant factors.

2. Eligibility

2.1

You represent and warrant that You are legally competent to enter into a binding contract under the Indian Contract Act, 1872 and are at least 18 years of age.

2.2

If applying on behalf of a proprietorship, partnership, LLP, company, trust, or other entity, You represent that You are duly authorised to apply, submit documents, execute loan documents, and bind such entity.

2.3

Celestium reserves the right to decline, reject, cancel, or suspend any application or service if eligibility requirements are not met, required documents are not provided, verification fails, information is incorrect, or You are otherwise ineligible under applicable law or Celestium's policies.

3. Application Process

3.1

Customers may apply for or enquire about business loans through Celestium's agents, representatives, website form, email, WhatsApp, telephone, direct enquiry, or branch/office channels.

3.2

The application process may be manual, assisted, agent-led, digital, physical, or a combination thereof. Submission of an application does not guarantee approval, sanction, or disbursement.

3.3

Celestium may request additional information, clarification, documents, or verification at any stage of the application, sanction, disbursement, servicing, or recovery process.

4. Customer Information and Accuracy

4.1

You agree to provide true, complete, accurate, current, and authentic information, documents, declarations, and consents.

4.2

You shall promptly inform Celestium of any change in Your information, including address, mobile number, email, bank account, business details, constitution, ownership, income, financial condition, or any other material information.

4.3

If any information or document provided is found to be false, forged, misleading, incomplete, or unauthorised, Celestium may reject the application, cancel the sanction, recall the loan, initiate recovery, report to credit bureaus, or take any other action permitted under applicable law and loan documents.

5. Business Loans, Security, and Guarantors

5.1

Celestium offers secured and unsecured business loans subject to its policies, credit assessment, documentation, and applicable law. Security may include guarantees, post-dated cheques, NACH/e-mandate, undertakings, or other arrangements.

5.2

For secured loans, the nature, value, adequacy, and documentation of collateral is determined by Celestium on a case-by-case basis. One or more guarantors may be required depending on the loan structure and risk assessment.

5.3

Borrowers, co-borrowers, and guarantors shall be bound by the loan agreement, guarantee deed, security documents, mandate forms, cheques, declarations, and all other documents signed or accepted by them.

5.4

Where collateral, security, guarantee, or other credit support is provided, Celestium may enforce such support in accordance with the applicable loan documents and law.

6. Sanction, Key Fact Statement, Loan Documents, and Disbursement

6.1

Loan approval and disbursement are subject to credit assessment, KYC, document verification, execution of loan documents, repayment mandate setup, and fulfilment of conditions communicated by Celestium.

6.2

The loan amount, tenure, interest rate, annual percentage rate, repayment frequency, processing fee, penal charges, foreclosure charges, security, and other applicable terms shall be disclosed in the sanction letter, loan agreement, Key Fact Statement, repayment schedule, or other transaction documents. Celestium shall also provide a Most Important Terms and Conditions (MITC) document to the borrower at the time of sanction, summarising key loan terms in plain language.

6.3

Celestium shall not levy any fee or charge required to be disclosed in the Key Fact Statement unless such fee or charge has been disclosed or separately consented to in accordance with applicable law.

6.4

The Key Fact Statement shall be provided in the prescribed form and in a language understood by the borrower. The borrower shall acknowledge the Key Fact Statement before execution or disbursement, as applicable.

6.5

Before disbursement, borrowers will be given a reasonable opportunity to review all loan documents, the KFS, and the MITC. Disbursement will not proceed until the borrower has acknowledged these documents.

6.6

Celestium may cancel, withhold, modify, or refuse disbursement if information is found incorrect, documentation is incomplete, any pre-condition is unfulfilled, or Celestium identifies any risk, fraud, misrepresentation, default, or legal/regulatory concern.

7. Documents and KYC

7.1

Celestium may collect, verify, process, and retain documents and information from borrowers, co-borrowers, guarantors, entities, directors, partners, proprietors, and other relevant persons, including:

  • PAN, Aadhaar, identity proof, and address proof
  • Bank statements, GST returns, income tax returns, and financial statements
  • Business documents, entity KYC documents, and beneficial ownership information (where applicable)
  • Application forms, loan agreements, e-mandate/NACH documents, cheques, and security documents
  • Any other documents required by Celestium

7.2

Aadhaar-related information shall be collected and used only for lawful KYC and permitted purposes, through legally permitted modes. Where alternate officially valid documents are permitted by law, Celestium may accept such documents in accordance with its KYC policy.

7.3

Celestium may verify PAN, Aadhaar, bank account, bank statements, GST returns, ITRs, business information, and contact details. Celestium may use technology-assisted tools including bank statement analysers for cash flow, income, and repayment capacity analysis.

7.4

Submission of KYC or financial documents does not guarantee sanction or disbursement of a loan.

8. Credit Information and Credit Bureau Reporting

8.1

You acknowledge that Celestium may obtain and use Your credit information, credit score, credit report, and repayment history from CIBIL and/or other credit information companies, bureaus, and authorised sources, as permitted under applicable law, for identity verification, credit assessment, underwriting, portfolio monitoring, collection, recovery, and regulatory compliance.

8.2

Celestium may report loan details, repayment behaviour, defaults, overdue amounts, settlements, write-offs, closures, and guarantor information to credit information companies including CIBIL and other CICs, in accordance with applicable law.

8.3

Withdrawal of consent shall not affect processing, retention, reporting, or disclosure required or permitted under applicable law, credit information laws, RBI directions, contractual obligations, or loan documents.

8.4

If You believe any credit information reported by Celestium is inaccurate or incomplete, You may raise a complaint through Celestium's grievance redressal mechanism. Celestium shall process such requests in accordance with applicable credit information laws and RBI directions.

9. Repayment and Mandates

9.1

Repayment frequency may be daily, weekly, monthly, bi-monthly, or any other frequency agreed in the sanction letter, loan agreement, repayment schedule, or mandate.

9.2

Celestium may set up an e-mandate, NACH mandate, standing instruction, or other automated repayment mechanism. You agree to provide all information, bank details, OTP confirmations, signatures, mandate forms, and authorisations required for setup.

9.3

You shall ensure sufficient funds are maintained in the designated bank account before each due date.

9.4

If any mandate, NACH, cheque, or repayment attempt fails, You shall remain immediately liable for the overdue amount, applicable late payment charges, bounce charges, penal charges, and all other dues.

9.5

In case of failed mandate or overdue repayment, Celestium may allow repayment through UPI QR code, bank transfer, cheque, or any other mode communicated by Celestium. You must mention the correct loan account number or customer reference while making any manual repayment.

9.6

Celestium shall not be liable for delay, failed payment, or non-reconciliation caused by incorrect reference details, wrong UPI ID, wrong bank account, bank error, or payment system failure, except to the extent required under applicable law.

9.7

You have the right to request a statement of your loan account at any time, showing transactions, repayments made, amounts outstanding, and charges levied. Such requests may be made by contacting us at the details in Section 21.

10. Fees, Charges, and Penal Charges

10.1

You agree to pay all applicable interest, processing fees, late payment charges, bounce charges, penal charges, collection charges, documentation charges, taxes, duties, and other amounts payable under the sanction letter, loan agreement, Key Fact Statement, or other transaction documents.

10.2

Any penalty for non-compliance with material loan terms shall be levied as penal charges only and not as penal interest. Penal charges shall not be capitalised or added to principal for further interest, except as permitted under applicable law.

10.3

Penal charges shall be reasonable, proportionate to the non-compliance, non-discriminatory within the same borrower category, and disclosed in applicable loan documents or Key Fact Statement.

10.4

For individual borrowers availing loans at floating rates of interest, no prepayment or foreclosure charges shall be levied. Prepayment, part-payment, or foreclosure charges for other borrower categories, if any, shall be levied only in accordance with applicable law and the terms disclosed in the sanction letter, Key Fact Statement, or loan agreement.

11. Refund Policy

11.1

Where a refund becomes due as a result of excess payment, duplicate payment, transaction error, cancellation, or reversal, Celestium shall review and verify the refund request. Upon confirmation and receipt of required information, Celestium shall process the refund within two (2) working days.

11.2

Refunds will ordinarily be processed through the original mode of payment. Celestium reserves the right to use an alternative method where necessary and in compliance with applicable law and operational requirements.

11.3

While Celestium processes eligible refunds within two working days of receiving required confirmation, actual credit to the customer's account may be subject to the processing timelines of the relevant bank, payment gateway, or UPI service provider. For refund-related concerns, customers may contact Celestium through the contact details on the Website.

12. Release of Security and Original Documents

12.1

Upon full repayment or settlement of all outstanding dues and completion of all obligations, Celestium shall release original movable or immovable property documents, if any, and take steps to remove registered charges, if applicable, within the timeline prescribed under applicable law and RBI directions, subject to any lawful right of lien, set-off, or continuing security interest.

12.2

If Celestium exercises any right of lien, set-off, or continuing security interest, the borrower shall be informed of the remaining claims and the conditions for release.

13. Use of Website and Service Channels

13.1

You agree to use the Website and Service Channels only for lawful purposes and in accordance with these Terms. You shall not:

  • Submit false, forged, misleading, or unauthorised information
  • Impersonate any person or misuse another person's documents or identity
  • Upload or transmit harmful code, malware, or unlawful content
  • Interfere with the Website or Celestium's systems
  • Attempt unauthorised access to any system, form, or database
  • Use the Services for illegal, fraudulent, or unauthorised purposes
  • Conceal material facts or violate any applicable law

14. Communications and Notices

14.1

You expressly consent to receive communications from Celestium and its authorised personnel through SMS, email, telephone calls, WhatsApp, IVR, postal mail, in-person visits, notices, website updates, or any other mode. Such communications may include loan application updates, document or KYC requests, sanction details, repayment reminders, overdue reminders, payment links, mandate links, collection communications, legal notices, and other loan-related or service-related information.

14.2

You may opt out of promotional communications where such option is available. Transactional, service, repayment, legal, regulatory, and loan-related communications shall continue regardless.

15. Collection and Recovery

15.1

Celestium may use its own collection agents, employees, officers, authorised representatives, and legal representatives for collection, recovery, field visits, notices, settlement discussions, enforcement of security, guarantee enforcement, and other recovery-related activities, subject to applicable law and loan documents. All collection agents are trained and certified in accordance with RBI guidelines on fair recovery practices.

15.2

Celestium and its authorised collection personnel shall follow fair recovery practices and shall not use intimidation, harassment, threats, abusive language, public humiliation, anonymous calls, misleading representations, or any unlawful or coercive recovery method.

15.3

Recovery-related calls for overdue loans shall ordinarily not be made before 8:00 a.m. or after 7:00 p.m., except where permitted by law or specifically requested by the borrower. Collection personnel shall identify themselves and carry appropriate authorisation while interacting with borrowers, co-borrowers, or guarantors.

15.4

Celestium may initiate collection, recovery, legal, arbitration, cheque bounce, security enforcement, guarantee enforcement, or other proceedings in case of default, subject to applicable law and loan documents.

16. Third-Party Service Providers

16.1

Celestium may use third-party service providers for limited operational purposes including e-mandate processing, payment processing, technology support, communication delivery, credit bureau access, verification, legal support, audit, and compliance. Relevant information is shared with such providers only to the extent necessary for the Services, repayment processing, verification, or legal compliance.

16.2

Celestium shall not be liable for any delay, failure, interruption, error, outage, or defect in any third-party service, bank system, payment system, e-mandate system, telecom system, or external technology platform, except to the extent required under applicable law.

17. Privacy and Data Use

17.1

Celestium's collection, use, processing, storage, sharing, retention, and protection of personal information is governed by its Privacy Policy and applicable law. By submitting information or documents, You consent to Celestium collecting, processing, verifying, analysing, and sharing such information for loan application, KYC, underwriting, sanction, disbursement, servicing, repayment, collection, recovery, legal compliance, audit, reporting, and grievance handling.

17.2

Withdrawal of any consent is subject to applicable law, contractual obligations, regulatory requirements, credit reporting obligations, audit requirements, record-retention requirements, and rights and obligations under loan documents. Please refer to Celestium's Privacy Policy on the Website.

18. No Forced Cross-Selling

18.1

Celestium shall not make the sanction, disbursement, or continuation of any loan conditional upon the customer availing any other product or service offered by Celestium or any third party. Customers are free to avail or decline any other product or service independently. Any marketing communications regarding other products are subject to the customer's right to opt out under Section 14.2.

19. Disclaimer of Warranties and Liability

19.1

The Website and Services are provided on an "as is" and "as available" basis, subject to applicable law. Celestium does not guarantee that any application will be approved, sanctioned, or disbursed.

19.2

Celestium shall not be liable for losses arising from:

  • Incorrect, false, incomplete, or misleading information provided by You
  • Failure to submit required documents
  • Failed or delayed payments
  • Bank, payment system, e-mandate provider, telecom, internet, or third-party service failure
  • Force majeure events
  • Unauthorised use of Your documents, phone, email, bank account, or payment instruments
  • Your default, negligence, fraud, or breach of loan documents
  • Events beyond Celestium's reasonable control

19.3

Nothing in these Terms shall exclude liability that cannot be excluded under applicable law.

20. Indemnity

20.1

You agree to indemnify and hold harmless Celestium and its directors, officers, and employees from and against any claims, losses, damages, liabilities, penalties, costs, or proceedings arising from:

  • Breach of these Terms or loan documents
  • False, forged, incomplete, or misleading information submitted by You
  • Misuse of Services or default in repayment
  • Violation of applicable law
  • Fraud, negligence, wilful misconduct, or unauthorised acts by You
  • Disputes relating to documents, consent, mandate, cheque, guarantee, collateral, or repayment instructions submitted by You

21. Suspension, Rejection, and Termination of Services

21.1

Celestium may reject, suspend, discontinue, cancel, or terminate any application or Service if You violate these Terms, provide incorrect information, fail verification checks, default on repayment, misuse the Services, commit fraud, fail to provide required documents, or violate applicable law.

21.2

Termination or discontinuation of Services shall not affect Your obligation to repay outstanding dues or comply with surviving obligations under the loan documents, guarantees, mandates, cheques, security documents, and applicable law.

22. Grievance Redressal

22.1

22.2

Celestium shall endeavour to resolve grievances within 7 to 10 working days from receipt of the complaint and all required information. Complaints relating to credit information, repayment reporting, overdue status, closure, settlement, or correction of credit bureau records may also be raised through this mechanism and shall be processed in accordance with applicable credit information laws and RBI directions.

22.3

If a complaint is not resolved to Your satisfaction within 30 days, You may escalate the matter under the Reserve Bank of India – Integrated Ombudsman Scheme (RBI IOS). Complaints may be filed online at cms.rbi.org.in or through the RBI's toll-free number 14448. The Ombudsman Scheme is available at no cost to the customer.

23. Force Majeure

23.1

Celestium shall not be liable for delay or failure in performance caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, epidemics, pandemics, government restrictions, regulatory actions, cyber incidents, bank outages, payment system failures, telecom or internet failures, or any other event beyond Celestium's reasonable control.

24. Governing Law and Jurisdiction

24.1

These Terms are governed by the laws of India. The courts at Bangalore, Karnataka shall have exclusive jurisdiction over disputes arising out of or relating to these Terms, the Website, Services, loan documents, or any transaction with Celestium.

25. General Provisions

25.1

If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

25.2

You shall not assign or transfer Your rights or obligations under these Terms or loan documents without Celestium's prior written consent. Celestium may assign, transfer, novate, or otherwise deal with its rights and obligations, subject to applicable law and loan documents.

25.3

Failure or delay by Celestium in exercising any right shall not operate as a waiver of such right.

25.4

These Terms shall be read together with Celestium's Privacy Policy, Refund Policy, Fair Practices Code, sanction letter, Key Fact Statement, MITC, loan agreement, repayment schedule, mandate, guarantee and security documents, declarations, and all other transaction documents executed or accepted by You. In case of inconsistency between these Terms and specific loan documents, the specific loan documents shall prevail for the relevant transaction.

25.5

Nothing in these Terms shall limit or prejudice any right, remedy, obligation, reporting requirement, regulatory requirement, or statutory duty available to or imposed on Celestium under applicable law, RBI directions, loan documents, or any order of a court, tribunal, regulator, or statutory authority.

These Terms are effective as of the date of last update stated above and supersede all prior versions.
